Improvtek Consulting provides management consulting services, including but not limited to IT strategy & Advisory, Digital Transformation, Risk Management & Compliance, Business Process Optimization, Cybersecurity consulting, Business Analysis, and AI solutions. These Terms establish the legally binding conditions under which we offer our services to clients and website users.

2. Use of Services

2.1 Eligibility

• By accessing our services, you confirm that you have the legal authority to enter into these Terms.

• You agree not to use our website or services for:
  • Any unlawful activity.
  • Unauthorized access to data or systems.

2.3 Account & Security

• Some services may require account registration. You are responsible for maintaining confidentiality of your account credentials.

3. Consulting Services

• Improvtek Consulting provides services based on agreed scope, budget, deliverables, and timelines.
• Any changes to project scope must be mutually agreed upon in writing.
• Improvtek Consulting is not liable for project delays caused by client-side issues, including lack of cooperation or incomplete data.

4. Intellectual Property

• All content, methodologies, software, and materials provided by Improvtek Consulting remain our intellectual property, unless explicitly transferred.
• Clients may use deliverables only for their intended business purpose.
• Unauthorized reproduction, resale, or modification of our materials is prohibited.

5. Payments & Fees

5.1 Payment Terms

• Payments must be made as per the agreed contract terms.
• Late payments may result in service suspension or additional fees.

5.2 Refund Policy

• Refunds are issued only under exceptional circumstances, at our sole discretion.
• Clients must submit refund requests in writing, explaining the reason for dissatisfaction.

6. Limitation of Liability

• Improvtek provides services “as is” and does not guarantee specific results.
• We are not responsible for indirect, incidental, or consequential damages resulting from the use of our services.
• Maximum liability, if applicable, shall not exceed the fees paid by the client for the specific service.

7. Data Protection & Privacy

• We handle client and user data as outlined in our Privacy Policy. (Should be linked)
• Improvtek Consulting implements industry-standard security measures, but we cannot guarantee absolute data security.

8. Confidentiality

• Both parties agree to keep all proprietary information confidential.
• Confidentiality obligations remain in effect even after service completion.

9. Termination of Services

• Improvtek Consulting reserves the right to suspend or terminate service access if a user violates these Terms.
• Clients may terminate services by providing written notice in accordance with their contract.

10. Governing Law & Dispute Resolution

• These Terms are governed by the laws of Canada
• Disputes shall first be resolved through negotiation. If unresolved, disputes will be settled in the Courts of Manitoba.

11. Changes to These Terms

• Improvtek Consulting may update these Terms at any time.
• Users will be notified of significant changes via email or website updates.
• Continued use of our services constitutes acceptance of any modifications.
